Terms of Service

fileNXT is a file request and file collection platform that enables users (“Owners”) to create file requests and collect files from third parties (“Uploaders”) via shareable links.

These Terms apply to Owners and Uploaders. Additional terms may apply to certain features (e.g., paid plans), which will be presented at the point of use.

You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

Owners may be required to create an account to access the Service. Uploaders may upload files without creating an account.

You are responsible for maintaining the confidentiality of your login credentials and request links, and for all activity that occurs under your account or via links you share. If you believe your account or a link has been compromised, contact us promptly at [Insert support email].

You agree not to misuse the Service. In particular, you must not:

• Upload, request, store, transmit, or share content that is unlawful, harmful, abusive, or infringing.
• Upload content that violates privacy rights or data protection laws.
• Attempt to gain unauthorised access to accounts, systems, or networks.
• Interfere with or disrupt the Service, including by introducing malware or excessive automated requests.
• Use the Service to distribute spam or unsolicited communications.
• Reverse engineer, copy, or resell the Service except as permitted by law.

We may remove content, restrict links, suspend accounts, or take other action if we reasonably believe there is misuse or a violation of these Terms.

Your content belongs to you. You retain ownership of files and other content you upload, submit, or share through the Service (“User Content”).

You grant fileNXT a limited licence to host, store, process, transmit, and display User Content solely to provide, secure, and operate the Service. This licence ends when your content is deleted from the Service, subject to backups, legal obligations, and reasonable technical limitations.

Owners are responsible for ensuring they have a lawful basis and the necessary rights to request and collect files from Uploaders. Uploaders are responsible for ensuring they have the rights to upload content they submit.

Our Privacy Policy explains how we collect and use personal data. By using the Service, you agree to the Privacy Policy.

Where you use fileNXT to collect personal data from others, you are responsible for ensuring you have the right to do so and for providing appropriate notices to Uploaders.

fileNXT may offer free and paid plans. Plan limits, features, and pricing are described on our pricing page and may be updated from time to time.

If you purchase a subscription or a one-time upgrade (such as a request-level “Boost”), you authorise us (and our payment processor) to charge your payment method for applicable fees, taxes, and renewals.

Renewals: Subscriptions renew automatically unless cancelled before the renewal date. You can manage or cancel your subscription through the billing portal (if available) or by contacting support.

Taxes: You are responsible for any taxes, duties, or governmental assessments associated with your purchase, except where we are required to collect them.

We aim to keep fileNXT available and reliable, but we do not guarantee uninterrupted operation. The Service may be unavailable due to maintenance, updates, or factors outside our control.

We may change, update, or discontinue parts of the Service at any time. Where reasonably practical, we will provide notice of material changes.

We may suspend or terminate your access to the Service (including disabling links or requests) if we reasonably believe:

• You have violated these Terms or applicable laws.
• Your use creates a security risk or could harm fileNXT or other users.
• Your activity is abusive, fraudulent, or attempts to circumvent limits.

You may stop using the Service at any time. If you cancel a subscription, cancellation takes effect at the end of the current billing period unless otherwise stated.

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, fileNXT disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

fileNXT does not guarantee that files will be retained indefinitely, that content will be error-free, or that uploads will be uninterrupted. You are responsible for maintaining your own backups of important content.

To the maximum extent permitted by law, fileNXT will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or business interruption arising out of or related to your use of the Service.

To the maximum extent permitted by law, fileNXT’s total liability for any claim arising out of or related to the Service will not exceed the greater of: (a) the amount you paid to fileNXT for the Service in the 3 months before the event giving rise to the claim, or (b) £100 (or the equivalent in your local currency).

Nothing in these Terms limits liability that cannot be limited under applicable law (including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).

You agree to indemnify and hold harmless fileNXT and its affiliates, officers, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service.
• Your User Content (including alleged infringement or unlawful content).
• Your violation of these Terms or applicable laws.

The Service may rely on third-party services (such as payment processors and hosting providers). fileNXT is not responsible for third-party services that are outside our control, and your use of those services may be subject to separate terms.

These Terms are governed by the laws of [England and Wales], without regard to conflict of law principles. Courts located in [England and Wales] will have exclusive jurisdiction, except where applicable law provides otherwise.

We may update these Terms from time to time. If changes are material, we will update the effective date and, where reasonably practical, provide notice. Your continued use of the Service after changes become effective constitutes acceptance.
